1. Acceptance of Terms1. Aceptacion de Terminos

These Terms of Use ("Terms") constitute a legally binding agreement between you (either an individual or entity, "you" or "Customer") and P4 Software, a division of Grupo Barrdega ("P4 Software," "we," "us," or "our"), governing your access to and use of the P4 Warehouse Cloud warehouse management system platform ("Service" or "Platform").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Important: If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Estos Terminos de Uso ("Terminos") constituyen un acuerdo legalmente vinculante entre usted (ya sea individuo o entidad, "usted" o "Cliente") y P4 Software, una division de Grupo Barrdega ("P4 Software," "nosotros" o "nuestro"), que rigen su acceso y uso de la plataforma de sistema de gestion de almacenes P4 Warehouse Cloud ("Servicio" o "Plataforma").

Al acceder o usar el Servicio, usted reconoce que ha leido, comprendido y acepta estar sujeto a estos Terminos. Si no esta de acuerdo con estos Terminos, no podra acceder ni usar el Servicio.

Importante: Si usted esta aceptando estos Terminos en nombre de una empresa u otra entidad legal, declara que tiene la autoridad para vincular a dicha entidad con estos Terminos.

2. Service Description2. Descripcion del Servicio

P4 Warehouse Cloud is a cloud-based warehouse management system (WMS) that provides:

Real-time inventory tracking and management
Multi-warehouse operational control
Order fulfillment automation
Mobile applications for warehouse operations
Integration with ERP systems and shipping carriers
Analytics and reporting capabilities
3PL billing and client portal features

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice, though we will make reasonable efforts to notify customers of material changes.

P4 Warehouse Cloud es un sistema de gestion de almacenes (SGA/WMS) basado en la nube que proporciona:

Seguimiento y gestion de inventario en tiempo real
Control operativo de multiples almacenes
Automatizacion del cumplimiento de pedidos
Aplicaciones moviles para operaciones de almacen

Nos reservamos el derecho de modificar, suspender o descontinuar cualquier funcion del Servicio en cualquier momento, con o sin previo aviso, aunque haremos esfuerzos razonables para notificar a los clientes sobre cambios materiales.

3. Account Registration and Security3. Registro de Cuenta y Seguridad

3.1 Account Creation

To use the Service, you must register for an account by providing accurate, complete, and current information. You agree to:

Provide truthful and accurate information during registration
Maintain and promptly update your account information
Maintain the confidentiality of your account credentials
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the security of your account and password. P4 Software cannot and will not be liable for any loss or damage arising from your failure to maintain account security.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Violate any applicable laws, regulations, or third-party rights
Use the Service to transmit harmful code, viruses, or malicious software
Attempt to gain unauthorized access to any portion of the Service
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or attempt to extract source code from the Service
Use the Service to store or transmit illegal, harmful, or offensive content
Impersonate another person or entity
Sell, resell, or exploit the Service for commercial purposes without authorization
Use automated systems to access the Service in a manner that exceeds reasonable request volume

Usted acepta usar el Servicio solo para propositos legales y de acuerdo con estos Terminos. Usted acepta NO:

Violar leyes, regulaciones o derechos de terceros aplicables
Usar el Servicio para transmitir codigo danino, virus o software malicioso
Intentar obtener acceso no autorizado a cualquier parte del Servicio
Interferir o interrumpir la integridad o el rendimiento del Servicio
Realizar ingenieria inversa, descompilar o intentar extraer el codigo fuente del Servicio
Usar el Servicio para almacenar o transmitir contenido ilegal, danino u ofensivo
Hacerse pasar por otra persona o entidad
Vender, revender o explotar el Servicio con fines comerciales sin autorizacion
Usar sistemas automatizados para acceder al Servicio de manera que exceda un volumen razonable de solicitudes

5. Subscription and Payment5. Suscripcion y Pago

5.1 Subscription Plans

The Service is offered on a subscription basis. Pricing, features, and terms for each subscription plan are available on our website or in your service agreement.

5.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis
All fees are non-refundable except as required by law or as stated in your service agreement
You authorize us to charge your payment method for all fees incurred
Fees are exclusive of all taxes, which you are responsible for paying
We reserve the right to modify pricing with 30 days' notice

5.3 Free Trials

We may offer free trial periods at our discretion. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5.1 Planes de Suscripcion

5.3 Pruebas Gratuitas

Podemos ofrecer periodos de prueba gratuitos a nuestra discrecion. Al final del periodo de prueba, su suscripcion se convertira automaticamente en un plan de pago a menos que cancele antes de que termine la prueba.

6. Data Ownership and Privacy6. Propiedad de Datos y Privacidad

6.1 Your Data

You retain all ownership rights to the data you upload, store, or process using the Service ("Customer Data"). By using the Service, you grant us a limited license to use, store, and process Customer Data solely to provide and improve the Service.

6.2 Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our privacy practices as described in that policy.

6.3 Data Security

We implement industry-standard security measures to protect Customer Data. However, no method of transmission or storage is 100% secure. You acknowledge that you provide Customer Data at your own risk.

6.1 Sus Datos

7. Intellectual Property Rights7. Derechos de Propiedad Intelectual

7.1 Our Intellectual Property

The Service, including all software, technology, designs, graphics, user interfaces, and content (excluding Customer Data), is owned by P4 Software and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

7.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual license to use such feedback without compensation or attribution.

7.1 Nuestra Propiedad Intelectual

El Servicio, incluyendo todo el software, tecnologia, disenos, graficos, interfaces de usuario y contenido (excluyendo los Datos del Cliente), es propiedad de P4 Software y esta protegido por leyes de propiedad intelectual. Estos Terminos no le otorgan ningun derecho de propiedad sobre el Servicio.

7.2 Licencia de Uso

Sujeto a estos Terminos, le otorgamos una licencia limitada, no exclusiva, intransferible y revocable para acceder y usar el Servicio para sus propositos comerciales internos durante su periodo de suscripcion.

7.3 Retroalimentacion

Si nos proporciona retroalimentacion, sugerencias o ideas sobre el Servicio, nos otorga una licencia irrestricta y perpetua para usar dicha retroalimentacion sin compensacion ni atribucion.

8. Service Level and Support8. Nivel de Servicio y Soporte

8.1 Availability

We strive to maintain 99.9% uptime for the Service, excluding scheduled maintenance windows. However, we do not guarantee uninterrupted or error-free service.

8.2 Maintenance

We may perform scheduled and emergency maintenance that may temporarily make the Service unavailable. We will provide advance notice of scheduled maintenance when possible.

8.3 Customer Support

Support services are provided according to your subscription plan. Support channels may include email, phone, and chat support during business hours.

8.1 Disponibilidad

We do not warrant that:

The Service will meet your specific requirements
The Service will be uninterrupted, timely, secure, or error-free
Results obtained from using the Service will be accurate or reliable
Any errors in the Service will be corrected

EL SERVICIO SE PROPORCIONA "TAL CUAL" Y "SEGUN DISPONIBILIDAD" SIN GARANTIAS DE NINGUN TIPO, YA SEAN EXPRESAS O IMPLICITAS, INCLUYENDO PERO NO LIMITANDOSE A GARANTIAS IMPLICITAS DE COMERCIABILIDAD, IDONEIDAD PARA UN PROPOSITO PARTICULAR Y NO INFRACCION.

No garantizamos que:

El Servicio cumpla con sus requisitos especificos
El Servicio sea ininterrumpido, oportuno, seguro o libre de errores
Los resultados obtenidos del uso del Servicio sean precisos o confiables
Cualquier error en el Servicio sea corregido

TO THE MAXIMUM EXTENT PERMITTED BY LAW, P4 SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to access or use) the Service
Any conduct or content of any third party on the Service
Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL P4 SOFTWARE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO P4 SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

EN LA MAXIMA MEDIDA PERMITIDA POR LA LEY, P4 SOFTWARE NO SERA RESPONSABLE DE NINGUN DANO INDIRECTO, INCIDENTAL, ESPECIAL, CONSECUENTE O PUNITIVO, INCLUYENDO PERO NO LIMITANDOSE A PERDIDA DE GANANCIAS, DATOS, USO, BUENA VOLUNTAD U OTRAS PERDIDAS INTANGIBLES, RESULTANTES DE:

Su acceso o uso (o la imposibilidad de acceder o usar) el Servicio
Cualquier conducta o contenido de terceros en el Servicio
Acceso, uso o alteracion no autorizados de sus transmisiones o contenido

EN NINGUN CASO LA RESPONSABILIDAD TOTAL DE P4 SOFTWARE HACIA USTED POR TODAS LAS RECLAMACIONES EXCEDERA EL MONTO QUE USTED PAGO A P4 SOFTWARE EN LOS 12 MESES ANTERIORES A LA RECLAMACION.

11. Indemnification11. Indemnizacion

You agree to indemnify, defend, and hold harmless P4 Software, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

Your access to or use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property or privacy rights
Any Customer Data you provide

Usted acepta indemnizar, defender y mantener indemne a P4 Software, sus afiliados, funcionarios, directores, empleados y agentes de y contra cualquier reclamacion, responsabilidad, dano, perdida y gasto, incluyendo honorarios legales razonables, derivados de o relacionados de cualquier manera con:

Su acceso o uso del Servicio
Su violacion de estos Terminos
Su violacion de derechos de terceros, incluyendo propiedad intelectual o derechos de privacidad
Cualquier Dato del Cliente que usted proporcione

12. Term and Termination12. Vigencia y Terminacion

12.1 Term

These Terms commence when you first access the Service and continue until terminated by either party.

12.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of your current billing period.

12.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for:

Breach of these Terms
Non-payment of fees
Activities that could harm us or other users
Violation of applicable laws

12.4 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We will provide you with a reasonable opportunity (typically 30 days) to export your Customer Data. After this period, we may delete your Customer Data.

12.1 Vigencia

Estos Terminos comienzan cuando usted accede por primera vez al Servicio y continuan hasta que sean terminados por cualquiera de las partes.

12.2 Terminacion por Usted

Puede cancelar su suscripcion en cualquier momento a traves de la configuracion de su cuenta o contactando al soporte al cliente. La cancelacion entrara en vigor al final de su periodo de facturacion actual.

12.3 Terminacion por Nosotros

Podemos suspender o terminar su acceso al Servicio inmediatamente, sin previo aviso, por:

Incumplimiento de estos Terminos
Falta de pago de tarifas
Actividades que puedan danarnos a nosotros o a otros usuarios
Violacion de leyes aplicables

12.4 Efecto de la Terminacion

Al terminar, su derecho a usar el Servicio cesa inmediatamente. Le proporcionaremos una oportunidad razonable (tipicamente 30 dias) para exportar sus Datos del Cliente. Despues de este periodo, podemos eliminar sus Datos del Cliente.

13. Changes to Terms13. Cambios a los Terminos

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms on our website with a new "Last Updated" date
Sending you an email notification to your registered email address
Displaying a prominent notice within the Service

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law provisions.

14.3 Jurisdiction

Any legal action arising out of or relating to these Terms or the Service shall be brought exclusively in the courts located in Panama City, Panama, and you consent to the personal jurisdiction of such courts.

14.1 Resolucion Informal

Antes de presentar una reclamacion formal, usted acepta contactarnos en legal@p4.software para buscar una resolucion informal de cualquier disputa.

14.2 Ley Aplicable

Estos Terminos se regiran e interpretaran de acuerdo con las leyes de Panama, sin tener en cuenta sus disposiciones sobre conflictos de leyes.

14.3 Jurisdiccion

Cualquier accion legal que surja de o se relacione con estos Terminos o el Servicio se presentara exclusivamente en los tribunales ubicados en Ciudad de Panama, Panama, y usted consiente la jurisdiccion personal de dichos tribunales.

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreement you've signed, constitute the entire agreement between you and P4 Software regarding the Service.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, or government actions.

15.1 Acuerdo Completo

Estos Terminos, junto con nuestra Politica de Privacidad y cualquier acuerdo de servicio que haya firmado, constituyen el acuerdo completo entre usted y P4 Software con respecto al Servicio.

15.2 Divisibilidad

Si alguna disposicion de estos Terminos se considera invalida o inaplicable, las disposiciones restantes permanenceran en plena vigencia y efecto.

15.3 Renuncia

Nuestra falta de aplicacion de cualquier derecho o disposicion de estos Terminos no se considerara una renuncia a dicho derecho o disposicion.

15.4 Cesion

Usted no puede ceder ni transferir estos Terminos sin nuestro consentimiento previo por escrito. Nosotros podemos ceder estos Terminos sin restriccion.

15.5 Fuerza Mayor

No seremos responsables de ningun incumplimiento de nuestras obligaciones bajo estos Terminos debido a circunstancias fuera de nuestro control razonable, incluyendo desastres naturales, guerra, terrorismo, disturbios, embargos o acciones gubernamentales.
